Buy-Sell Agreements

​​​A buy-sell agreement is a legally binding contract between the owners of a business entity (i.e. a corporation, limited liability company, partnership or other business entity).

​

Oftentimes, buy-sell provisions are contained within a more comprehensive business entity agreement such as shareholder agreement, operating agreement or partnership agreement.  As a result, shareholder agreements, operating agreements and partnership agreements are sometimes referred to as buy-sell agreements as well.

​

Ultimately, an effective buy-sell agreement (or other business agreement that contains buy-sell provisions) governs the transfer of ownership interests in a business upon the occurrence of a triggering event. 
 

Prenuptial Agreements & Premarital Agreements

A prenuptial agreement (also known as a "prenup", "prenup agreement", "antenuptial agreement", or "premarital agreement" is really just a contract between two parties that is entered into prior to marriage (or civil union) that typically governs the division of property and providing of spousal support in the event of a dissolution of the marriage (or civil union).
